Terms & Conditions

Welcome to Resting Pearl Properties. By accessing our website, booking a stay, or engaging with our property management services, you agree to the following Terms & Conditions. Please review them carefully.

1. Bookings & Reservations

  • All bookings are subject to availability and confirmation.

  • Guests must provide accurate contact information and payment details at the time of booking.

  • A reservation is not confirmed until payment has been received and a confirmation email has been issued.

  • Resting Pearl Properties reserves the right to refuse service, bookings, or management agreements at its discretion, without liability.

2. Cancellations & Refunds

  • Cancellation policies may vary by property and will be clearly stated at the time of booking.

  • Refund eligibility will follow the cancellation policy outlined in your booking confirmation.

  • Resting Pearl Properties reserves the right to cancel a booking in the event of unforeseen circumstances (e.g., property maintenance, safety concerns). Guests will be notified promptly, and alternative arrangements or refunds will be offered.

  • Resting Pearl Properties also reserves the right to cancel a booking if guest screening reveals incomplete, inaccurate, or concerning information, or if we determine that a booking poses a risk to the property, our neighbors, or our business.

  • Resting Pearl Properties further reserves the right to immediately cancel a booking, without refund, if guests are found to be in violation of house rules — including but not limited to hosting unauthorized parties, exceeding the approved number of guests, or engaging in disruptive or unlawful behavior.

3. Guest Responsibilities

  • Guests agree to treat the property with respect and follow all house rules.

  • Any damage, excessive cleaning, or violations (such as parties or unauthorized guests) may result in additional charges.

  • Guests are responsible for their own safety and belongings during their stay.

  • Guests acknowledge that the use of property amenities (fire pits, pools, gyms, outdoor equipment, etc.) carries inherent risks. Resting Pearl Properties is not responsible for accidents, injuries, or damages resulting from such use.

  • Guests acknowledge that Resting Pearl Properties acts solely as a property manager and not as the property owner or lessor.

4. Owner Partnerships

  • Property owners working with Resting Pearl Properties will be bound by the terms of their signed management agreement.

  • Owners agree to provide accurate information about their property and comply with all applicable local laws, licensing, HOA rules, and tax requirements.

  • Insurance: Owners must maintain adequate insurance (homeowner’s, landlord, or STR policy). Resting Pearl Properties is not liable for uncovered losses. Where possible, owners agree to add Resting Pearl Properties as an additional insured.

  • Maintenance: Owners are financially responsible for repairs, maintenance, and capital improvements unless otherwise agreed in writing. Resting Pearl Properties may coordinate such services on behalf of the owner, but costs remain the owner’s responsibility.

  • OTA Accounts: If a property is listed under an owner’s OTA (Online Travel Agency) account — including Airbnb, Vrbo, Booking.com, or others — Resting Pearl Properties is not responsible for account issues, penalties, or suspensions that result from OTA policies, guest actions, or owner account compliance. We provide best-practice guidance, but ultimate responsibility lies with the account holder.

  • Earnings: Resting Pearl Properties makes no guarantee of occupancy rates, revenue levels, or return on investment. Performance may be affected by market conditions, seasonality, or external factors.

  • Termination of Agreement: Resting Pearl Properties reserves the right to terminate the management agreement at any time, without penalty, if the owner materially breaches the contract. This includes, but is not limited to, non-payment of invoices, misrepresentation of property conditions, failure to maintain necessary insurance, or violations of OTA/short-term rental regulations. Resting Pearl Properties also reserves the right to terminate the agreement under other reasonable conditions if continued management is deemed not in the best interest of the company, its staff, or its reputation.

    • If the agreement is terminated while existing guest bookings remain in place, Resting Pearl Properties will remain entitled to the contracted management percentage fee for all such reservations, including short-term, mid-term, and long-term stays.

  • Non-Solicitation: Owners agree not to solicit Resting Pearl Properties staff, vendors, or contractors for independent work outside the management relationship.

5. Payments

  • Guests must complete payment through the designated booking platform or payment processor.

  • Property owners will receive payouts in accordance with their signed management agreements.

  • Service fees, cleaning fees, and applicable taxes will be clearly disclosed.

  • Any invoices issued by Resting Pearl Properties (for services, reimbursements, or other charges) must be paid in full no later than five (5) days from the date of receipt, unless otherwise agreed in writing.

6. Liability

  • Resting Pearl Properties shall not be liable for indirect, incidental, or consequential damages, including loss of income, business interruption, or reputational harm.

  • Liability, if any, shall not exceed the fees paid to Resting Pearl Properties for the specific booking or service in question.

  • Resting Pearl Properties is not responsible for accidents, injuries, or loss of personal belongings during a guest’s stay.

  • We are not liable for interruptions in services (such as internet, utilities, or third-party platforms) beyond our control.

7. Indemnification

Guests and property owners agree to indemnify, defend, and hold harmless Resting Pearl Properties, its employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from their use of the property, violations of these Terms, or actions taken on their OTA account.

8. Force Majeure

Resting Pearl Properties is not liable for delays, cancellations, or disruptions caused by events beyond our reasonable control, including but not limited to natural disasters, government regulations, strikes, pandemics, or power/internet outages.

9. Modifications to Services

Resting Pearl Properties reserves the right to modify or discontinue certain services at any time, with reasonable notice to property owners.

10. Compliance with Laws

Guests and owners must comply with all applicable federal, state, and local laws. Resting Pearl Properties provides guidance but is not responsible for fines, penalties, or enforcement actions.

11. Non-Solicitation & Non-Circumvention (Vendors & Partners)

Vendors, contractors, service providers, and other third parties engaged by or through Resting Pearl Properties agree that they will not, directly or indirectly, solicit, contract with, or attempt to provide services to property owners, guests, or clients of Resting Pearl Properties outside of the relationship with Resting Pearl Properties.

Any attempt to bypass or circumvent Resting Pearl Properties by engaging directly with its property owners, guests, or clients without prior written consent shall constitute a material breach of this agreement and may result in legal action for damages, including lost management fees.

12. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Florida, where Resting Pearl Properties was founded and is legally established.

Any disputes shall generally be resolved exclusively in the courts located in Florida. However, Resting Pearl Properties reserves the right, at its sole discretion, to initiate or defend legal proceedings in the State of Virginia (or in another jurisdiction where the property is located or business operations occur) if deemed appropriate or necessary.

13. Dispute Resolution

Any dispute arising under these Terms shall first be submitted to mediation. If unresolved, the dispute will be subject to binding arbitration before resorting to litigation, unless prohibited by law.

14. Survival of Obligations

All disclaimers, indemnifications, limitations of liability, and payment obligations shall survive the termination of services or management agreements.

15. Privacy

Your privacy is important to us. Please review our Privacy Policy for details on how we collect and use information.

16. Changes to These Terms

Resting Pearl Properties may update these Terms & Conditions from time to time. Any changes will be effective immediately upon posting on our website.
